From wk at gnupg.org Tue Dec 5 08:50:33 2017 From: wk at gnupg.org (Werner Koch) Date: Tue, 05 Dec 2017 08:50:33 +0100 Subject: Date for the General Meeting 2018 Message-ID: <87k1y1sjee.fsf@wheatstone.g10code.de> Hi! The bitpoll page and private communications shows that having the General Meeting of the GnuPG e.V. on Friday, February 2, 2018 will be the best option for most members. Although logistics (meeting room and accommodation) would be easier for me in D?sseldorf, it brings the trouble that some/most of us need to get to Brussels on Friday evening or Saturday morning. Thus for those who attend FOSDEM anyway, having the General Meeting in Brussels would actually easy things. Thus unless we run into problems to get a venue in Brussels, please assume that we will have the GM in Brussels. An official invitation will follow this month. I need to send send out the invitation in the next 2 weeks. Comments are welcome. Salam-Shalom, Werner * Agenda for the general meeting 2018 This is the agenda for the general meeting we are legally required to hold. A protocol of this needs to be written, signed by the chair, and send to the registration court. We can and should keep it as brief as possible. Date: 2018-02-02 (Friday)\\ Venue: Brussels, exact location TBD *** TODO: Find a place in Brussels BTW, Should we try to reserve a couple of rooms at one hotel? ** Greeting ** Determination of resolution-ability Count members and delegation of votes. ** Report of the board for the last year - Activities - Finacial status ** Formal approval of the board's actions ** Election to fill vacant positions of the board Due to the the resignation of the treasurer, this position is vacant and a new treasurer needs to be elected. The term of the elected person will be the full 2 years. *** Candidates Andre agreed to run for treasurer. Thus means we also need to elect a new vice chairperson. ** Membership rules and fees - Who should be accepted as a member? - How do we want to concretely handle supporting members? - Membership fees. According to our constitution we need to have financial membership fees also for regular members. My suggestion would be to collect 24 Euros a year with the option to replace this financial contribution by volunteer work (like staffing a booth or contributing software). This should be written down in a membership fee plan, which needs to be decided upon. *** TODO draft a plan ** Miscellaneous This is the usual wildcard topic. ** Closing * Informal agenda This is the informal agenda of discussions outside of the general meeting. For topics which are in preparation of the general meeting we should discuss that before that formal general meeting (surprise). *** TODO Add more topics etc. ** Membership fees How do we actually implement them, which infrastructure etc. ** Concrete long term goals More concrete long / short term goals for the Verein apart from the general goals outlined in our constitution. ** How to spend funds Resulting from that: How should we spend the funds we received (or will receive) and how do we control that the funds are spent according to our goals. ** Other activities What our activities as a Verein (apart from collecting and spending money) should be, and who would like to contribute what. -- GnuPG e.V., Rochusstr. 44, D-40479 D?sseldorf. Any thoughts on time for the meeting? Since people are flying in that day I might propose a start between 1300 and 1500, depending a bit on how long the meeting is expected to take, but even a 2 hour meeting from 15 would allow for dinner plans around 1800/1900 ahead of the FOSDEM beer event at least. I'm very flexible, so should be able to make any meeting starting after 1200 or so. I'm curious how the figure EUR 24 came up (why not 25 for a round number, is it thinking of montly contribution of EUR 2?), but to start off discussion, could also regular donations to gnupg (since the donation campaign etc) be counted towards this, or would it legally require a separate one? As for supporting members, I would propose different "rankings" of member types, that don't really differ in anything but the amount contributed yearly. Some ideas might be taken from e.g [apache sponsorship], allowing for the possibility of contribute by private individuals as well as corporations of various sizes. I talked with the Duesseldorf folks and they recommended https://www.cataloniahotels.com/en/hotel/catalonia-brussels This hotel is in St.Gilles somewhat between Gare du Midi and the ULB (FOSDEM venue). I got a price of 182 Euro for 3 nights (w/o breakfast). Given that there is already a high demand for rooms during FOSDEM, I would suggest that you book yourself. At that place of other hotels on that area (gniibe has a hotel in the same area). In case the hotel has no meeting room avaible, we should be able to find a large table in the afternoon at one of the many pubs in that area; it should still be silent enough at that time. >> *** Candidates >> Andre agreed to run for treasurer. Other candidatures are welcome for example to avoid the impression that this is a German speaker dominated Verein. Shalom-Salam, Werner -- Die Gedanken sind frei. We good then share taxis to arrive early enough at the beer event. > the meeting is expected to take, but even a 2 hour meeting from 15 would > allow for dinner plans around 1800/1900 ahead of the FOSDEM beer event The official meeting should not last for more than 30 to 45 minutes. However, this requires that we discuss before that event. My mail and in Brussels. I plan to arrive on Thursday, so for some of us there should be enough time for in person discussions or a hackathon. So what about 16:30 >> - Activities - Finacial status > > In order to make the meeting more efficient, I recommend as much as > possible is sent out ahead of the meeting so it can be read through by > the participants before we start. I will definitely do so. Note that we currently have all facts at https://gnupg.org/verein/finances.html , > I'm curious how the figure EUR 24 came up (why not 25 for a round > number, is it thinking of montly contribution of EUR 2?), but to start Yes, 2 Euro per month. I had a meeting with a tax advisor and he suggested that we don't go for the 1 Euro per months, because this looks too much like a pro-forma membership fee. > off discussion, could also regular donations to gnupg (since the > donation campaign etc) be counted towards this, or would it legally > require a separate one? The receipts we can issue for tax deduct-ability in Germany (and in theory for the whole EU) need to indicate whether it is a membership fee or a donation. Right now we are only a few members and splitting a donation into membership fee and donation can be done at the Verein's site. With a larger member base it would be better to keep this separate. Or well, a member can also opt to document voluntary work as a replacement for sending money. > As for supporting members, I would propose different "rankings" of > member types, that don't really differ in anything but the amount > contributed yearly. Yes, we could have buttons for supporting members private pages like "GnuPG donor 2017", "GnuPG sustaining donor" as well as logos for large donations on our thank-you page. Which levels to assign and how to name them needs to be discussed. Salam-Shalom, Werner -- Die Gedanken sind frei. To keep the invitaion short I only put the headlines of the agenda into it. You will have noticed one new item: *** Acquisition of 50% of g10 Code GmbH Since 2001 g10 Code GmbH acted as the legal entity behind GnuPG. Acquiring a substantial share of that company would give the Verein access to the website and other resources. g10 Code is a private limited company with a stock of 25000 Euro owned by Werner Koch and his brother. The latter indicated that he would accept an offer to acquire his share. Given that he never received any distribution for his > 15 investment into g10 Code, an offer should add at least add 10000 to his nominal stock value. Note that the chairperson, who is also owner of the other half of the g10 Code stock and being g10 Code's CEO, will abstain from discussions or ballots. However, in his role as g10 Code stock owner he will agree to the transfer of his brother's stock to the GnuPG e.V. If you have any technical question I will of course answer them.
