Finally here are the minutes from our last general meeting.  Due to
Corona I forgot to post them back then.  Now, somewhat in time for the
next meeting here we go.

The annual meeting 2020 of the GnuPG e.V. was conducated on February 4,
2020 at our office, Rochusstr. 44, D?sseldorf.

1 Greeting

  Werner Koch opened the meeting at 14:05.


2 Determination of resolution-ability

  Werner Koch was elected as note keeper by acclamation.

  ? Invitation was sent out on 2020-01-06 by signed mail to
    verein at gnupg.org and by personal mail to all members.  The announced
    agenda is:

    ? Formal approval of the board's actions
    ? Election of the Treasurer (Kassierer)
    ? Election of the Vice-Chairperson (stellv. Vorsitzender)

  ? 4 of 15 members were present.  The attending members were:

    ? Andre Heinecke
    ? Werner Koch
    ? Yutaka Niibe
    ? Maurice Kemmann


  ? Damien Goutte-Gattat delegated his vote to Maurice Kemmann by signed
    mail to the board from 2020-01-23
  ? Guilhem Moulin delegated his vote to GNIIBE Yutaka by signed mail to
    the board from 2020-02-04

  ? No guests were in attendance.

  The chair stated that the meeting is able to set resolutions.


3 Report of the board for the last year

  ? The Chairperson reported about activities.  See attachment.
    ? Travel cost assistant for the OpenPGP summit
    ? Help with organization of that summit.

  ? The Treasuer gave a financial report.  See attachment.

  ? Membership fees have not yet been received fully for 2019.

  ? It was requested to update the financial report on the public
    website.  Treasurer agreed to do that timely.


4 Formal approval of the board's actions

  ? Maurice requested to formally approve.

  ? 6 votes (unanimous) approval of the boards actions. Zero Votes
    against.


5 Election of the Treasurer (Kassierer)

  The two year term of the treasures, Andre Heinecke, elapses with this
  meeting.  He declared that he could canidate again.  No other
  candiates.

  ? 6 votes (unanimous) for Andre. Zero votes against.

  Andre Heinecke accepts the position.


6 Election of the Vice-Chairperson (stellv. Vorsitzender)

  The two year term of the vice-chairperson, Martin Gollowitzer, elapses
  with this meeting.  The only candidate for this position is Bernhard
  Reiter who unfortnately could not attend the meeting but in advance
  agreed to run for this position.

  Votes for Bernhard Reiter: 6 Votes Other Notes: none.

  Bernhard agreed by phone to accept the position


7 Miscellaneous

  ? The chair asked for other topics to be discuss at this meeting.

  ? Maurice asked to have the next meeting directly in advance to the
    FOSDEM and better in the evening.
